This Terms of Service agreement is entered into by and between Vision Tech Company and our Client, The Agreement sets forth the terms and conditions governing the use of the Company's software products and services.
By using the Company's software products and services, the User agrees to be bound by the terms and conditions stated in this Agreement. If the User does not agree with any part of this Agreement, they should refrain from using the Company's software products and services.
The Company retains all intellectual property rights to its software products and services, including but not limited to copyrights, trademarks, patents, and trade secrets. The User agrees not to reproduce, modify, distribute, or create derivative works based on the Company's software products and services without prior written consent from the Company.
The Company is committed to protecting User data and complying with applicable data protection laws and regulations. The User acknowledges and agrees that the Company may collect, store, and process personal and non-personal data as outlined in the Company's Privacy Policy.
The User agrees to use the Company's software products and services in compliance with all applicable laws and regulations. The User shall not engage in any activity that may disrupt the integrity, security, or availability of the Company's software products and services. The User is solely responsible for the accuracy, legality, and quality of any data or content they upload or transmit through the Company's software products and services.
The Company shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use of its software products and services. The User agrees to indemnify and hold harmless the Company from any claims, losses, or damages arising from their violation of this Agreement or any third-party rights.
The Company reserves the right to terminate or suspend the User's access to its software products and services at any time and for any reason, including but not limited to the User's violation of this Agreement. Upon termination, the User's right to use the Company's software products and services shall immediately cease.
Any dispute arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the Parties. If the dispute cannot be resolved amicably, either Party may initiate legal proceedings in the appropriate jurisdiction.
The Company reserves the right to modify, update, or replace any part of this Agreement at its sole discretion. The User is responsible for regularly reviewing this Agreement to stay informed of any changes. Continued use of the Company's software products and services after any modifications to this Agreement constitutes acceptance of those changes.
If any provision of this Agreement is found to be unenforceable or invalid, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement shall remain in full force and effect.
This Agreement constitutes the entire agreement between the Parties regarding the use of the Company's software products and services and supersedes any prior agreements or understandings, whether written or oral.
By using the Company's software products and services, the User acknowledges that they have read, understood, and agreed to be bound by this Agreement.
